1. Who the contract is between

These terms are between [HOURCLOSE LEGAL ENTITY], of [HOURCLOSE REGISTERED ADDRESS] (“Hourclose”, “we”), and the company, firm or other business named when its Hourclose account is created (“the Company”, “you”), or the accountant or payroll bureau named when its bureau is created. The person who creates the account, or takes ownership of an account a bureau set up, accepts these terms for the Company or bureau and confirms they may bind it.

Hourclose is for businesses. It is not offered to consumers.

2. Who uses the account

You decide who joins your account and in what role. Each person you invite signs in as themselves and is bound by section 8 while they use it. You are responsible for what is done in your account by the people you let in.

An accountant or payroll bureau you link to your account reaches only what Hourclose lets a linked bureau reach, and you can unlink it at any time.

3. Plans

Free is free for up to 10 people, with no time limit.

Team is charged per person a month at the price published for your country on hourclose.com, in your country's currency, billed yearly or monthly where your country offers both.

Taking any Team feature on Free starts a free trial of the whole Team plan once. The trial ends at the later of 30 days from its start and the end of the day you first send an invoice or close a pay period inside the trial after your team's first full week of timesheets inside it, and never later than 60 days from its start. We tell you each date when the trial starts. Nothing is owed for the trial. A trial that ends unpaid moves the account to Free under section 6.

4. Payment

Subscriptions are sold and charged by Polar, our reseller and merchant of record. It takes each payment, retries a failed payment, adds the tax due and issues each invoice. Its own buyer terms apply to the payment.

  • In the US, UK and Australia you pay by card or wallet, monthly or yearly. In India you pay yearly, by card, wallet or UPI, and give your GSTIN at checkout where you have one.

  • We take no purchase order process.

By subscribing, the person paying authorises every charge of that subscription at its interval, including changes in the number of people, until they change the method, cancel, or the account closes. Adding people adds them to the next charge.

If a payment fails, Team stays as it is for 14 days while the payment is retried and you can pay. Unpaid after 14 days, the account moves to Free under section 6 and the failed charge is cancelled. Nothing is owed for it.

5. Cancelling and refunds

You can cancel Team at any time. It runs to the end of the month or year you paid for and then moves to Free under section 6. Cancelling never refunds a paid month or year. We refund the unused part of a paid term in proportion only where the account ends in one of these cases:

  • you close the account because you do not accept a change to these terms (section 13);

  • you close the account because your objection to a new sub-processor stands (the DPA);

  • Hourclose ends the service (section 11).

You can undo a cancellation until the paid term ends. Cancelling while a payment is overdue starts the move to Free under section 6 at once.

6. Moving to Free

When Team ends, Team features stop and their settings are kept. Everyone keeps recording for 14 days, in which an admin picks the ten people who stay active; every owner stays active and counts among the ten. With no pick, owners and then the most recently active people fill the ten. Everyone else becomes read-only: they can still sign in, see and export their own record. Subscribing again restores Team as it was.

7. Your data

The records in your account are yours. You give us the right to hold and use them only to run Hourclose for you, as the DPA sets out. We never sell them and never use them to watch your people.

  • No plan change, cancellation or inactivity deletes a record.

  • Any admin can export the whole account at any time, on every plan, in the same format we import.

  • We delete a person's record only when you erase it or when the deletion period you set passes. A deletion period cannot be shorter than the minimum for that person's country: 7 years in Australia, 6 in the UK, 5 in India, 3 in the US and 6 in New York. Erasing inside that period is your decision, and the law may require you to keep that record.

  • You are responsible for the record meeting your own pay and recordkeeping law, and for what you enter, approve and send from it.

8. Using Hourclose properly

You and your people must not:

  • use Hourclose against the law, or to record anything you have no right to;

  • reach or test another customer's account, or try to break or overload the service;

  • copy, resell or rebuild the service;

  • send email through Hourclose that its recipient has not asked for.

9. Support

People answer every customer, on every plan, through the help widget and [HELPDESK ADDRESS], within the hours and response times published on the pricing page. We do not offer phone support.

Moving your data from another tool is free. You can import our template yourself; past that, a support person imports another tool's export when you ask in a support conversation, and your history shows it as an import by support.

10. Payments your clients make to you

Where you invoice clients from Hourclose, your clients pay into your own Stripe account, under Stripe's terms with you. Hourclose is not a party to those payments and takes no commission on them.

11. If Hourclose ends

If we end the service we give you 90 days' notice by email. Export stays open throughout; nothing new is charged; any paid term reaching past the end is refunded in proportion.

12. Closing your account

An owner can close the account at any time. Unpaid charges are cancelled; a paid term is not refunded except under section 5. The closing owner is emailed an export of the whole account. An owner can restore the account for 30 days; after that it is deleted from our live systems, and backups are beyond use from deletion and gone within 90 days. For an account in India, our log of acts is kept one year after deletion, as Indian law requires.

13. Changes to these terms

We email every owner a new version 30 days before it takes effect. It binds from that date. An owner who does not accept it can close the account before then, and we refund the unused part of the paid term in proportion. We keep each version, and which version your account accepted and who accepted it.

14. Warranty and liability

WARRANTY DISCLAIMER: counsel to set.]

LIMITATION OF LIABILITY AND ITS CAP: counsel to set.]

INDEMNITY: counsel to set.]

15. Law and disputes

These terms are governed by [GOVERNING LAW], and disputes go to [COURTS OR FORUM].

16. Notices

We send notices to the owners' email addresses. You send notices to [HELPDESK ADDRESS].
